TABLEFLOW TERMS AND CONDITIONS OF USE

1. General Provisions

These Terms and Conditions govern the use of the TableFlow website, online reservation system, and administrative platform.

By using the Platform, the user confirms that they have read, understood, and agreed to these Terms and Conditions.

2. Definitions

For the purposes of this document:

"TableFlow" or the "Platform" means the TableFlow website, administrative system, and online reservation features.

"Restaurant" means a legal entity or individual that uses TableFlow to receive and manage reservations.

"Administrator" means a person authorized by a Restaurant to access the Platform's management system.

"Guest" means a person who makes a table reservation through TableFlow.

"Reservation" means a request submitted by a Guest by selecting a specific Restaurant, date, time, and category.

3. TableFlow Services

TableFlow enables Restaurants to

• Create their own online reservation page;
• Specify opening hours and available time slots;
• Add categories for tables, dining rooms, and other spaces;
• Receive and manage online reservations;
• View Guest contact details and additional comments;
• Manage current and upcoming reservations in one place.

TableFlow is a technology platform and is not the direct provider of restaurant services.

4. Registration and Account Creation

A Restaurant may be required to create an account in order to use the administrative part of the Platform.

The Restaurant must:

• Provide accurate and complete information;
• Protect its password and login credentials;
• Not transfer the account to an unauthorized person;
• Immediately notify TableFlow of any unauthorized use of the account;
• Update changed information in a timely manner.

The Restaurant is responsible for all actions performed through its account, except where access became possible due to TableFlow’s fault.

5. Making a Reservation

When making a Reservation, the Guest selects:

• A Restaurant or a specific branch;
• A date and time;
• The number of Guests;
• A dining room or table category, where such an option is available;
• Any applicable additional parameters.

The Guest must provide accurate contact information.

Providing incorrect or incomplete information may result in cancellation of the Reservation or make it impossible to contact the Guest.

6. Reservation Confirmation

A Reservation is considered confirmed once the Guest receives the relevant notification or the Reservation status is displayed as confirmed on the Platform.

In certain cases, the Restaurant may need to provide additional confirmation.

Submitting a Reservation request does not constitute a guarantee by TableFlow that restaurant services will be provided.

7. Changes and Cancellations

The relevant Restaurant determines the terms for changing and cancelling Reservations. The Guest should notify the Restaurant within a reasonable time if they wish to cancel or expect to be late. The Restaurant may cancel a Reservation if:

• The Guest is significantly late;
• The information provided by the Guest is incorrect;
• The Restaurant cannot provide the service for technical or operational reasons;
• There is a legal or safety-related reason;
• The Guest violates the Restaurant’s rules.

If a deposit or prepayment feature is added to the Platform in the future, separate payment, refund, and cancellation terms must be published.

8. Restaurant Responsibilities

The Restaurant is solely responsible for:

• The accuracy of information published on the Platform;
• Correctly specifying opening hours;
• The availability of tables and spaces;
• Prices, offers, and service conditions;
• Receiving and serving Guests;
• Timely processing of Reservations;
• Communication with Guests;
• Lawful use of Guest data.

TableFlow does not determine a Restaurant’s menu, prices, service standards, or final conditions for receiving Guests.

9. Guest Obligations

The Guest must:

• Provide accurate information;
• Not make false or intentionally misleading Reservations;
• Not use the Platform for automated, fraudulent, or unlawful purposes;
• Comply with the relevant Restaurant's rules;
• Not damage the Platform or its technical infrastructure;
• Not attempt unauthorized access to another user’s account.

10. Prohibited Use

The Platform may not be used:

• For unlawful activities;
• To create large numbers of false Reservations;
• To test system security without prior written authorization;
• To distribute malicious software or code;
• To disrupt the Platform’s operation;
• To unlawfully collect another person’s personal data;
• To copy, modify, or reverse engineer TableFlow software, except where expressly permitted by law.

11. Fees and Payment

TableFlow services for business users may be provided for a fee.

The applicable tariff, payment frequency, included features, and other commercial conditions are determined by:

• An offer;
• An invoice;
• A service agreement;
• or - Tariff terms published on the Platform.

Unless otherwise agreed, the service recipient is responsible for paying applicable taxes and mandatory charges in accordance with law.

12. Platform Availability

TableFlow seeks to ensure stable operation of the Platform but does not guarantee uninterrupted or error-free availability.

The Platform may be temporarily unavailable due to:

• Maintenance;
• Updates;
• Security measures;
• Internet or hosting disruptions;
• Failure of third-party services;
• Circumstances beyond TableFlow's reasonable control.

Where reasonably possible, TableFlow will seek to notify users in advance of significant planned maintenance.

13. Third-Party Services

TableFlow may use third-party services, including:

• Hosting and cloud infrastructure;
• Email and notification delivery systems;
• Analytics and security tools;
• Payment services, if such functionality is added;
• Integrated software systems.

The use of third-party services may also be governed by their own terms and policies.

14. Intellectual Property

TableFlow software, design, logo, texts, graphics, database structure, and other elements belong to TableFlow or the relevant rights holder.

The user receives a limited, non-exclusive, non-transferable right to use the Platform only for its intended purpose.

The Restaurant retains rights to its name, logo, photographs, and other materials uploaded by it. The Restaurant grants TableFlow the right to use those materials to provide the Restaurant page and reservation functionality on the Platform.

15. Limitation of Liability

To the extent permitted by law, TableFlow is not liable for:

• Services provided by the Restaurant to a Guest;
• Food quality or safety;
• Cancellation of a Reservation by the Restaurant;
• A Guest’s delay or failure to appear;
• Incorrect information provided by the Restaurant;
• Disruption of third-party services;
• Damage caused by the user’s inadequate protection of passwords or accounts;
• Indirect or consequential losses, including loss of profit, to the extent permitted by law.

Nothing in this section limits liability where such limitation is prohibited by applicable law.

16. Account Suspension or Termination

TableFlow may temporarily restrict or terminate an account if the user:

• Violates these Terms;
• Fails to pay agreed fees;
• Uses the Platform for unlawful or fraudulent purposes;
• Endangers the security of the Platform or other users;
• Systematically creates false Reservations.

Where possible, the user will be informed in advance of the reason for the restriction and given a reasonable opportunity to remedy the violation, except in urgent security cases.

17. Changes to the Terms

TableFlow may update these Terms from time to time.

Material changes will be published on the website or communicated to the user.

Continued use of the Platform after the updated Terms become effective constitutes acceptance of the updated Terms, to the extent permitted by law.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of Georgia.

The parties will attempt to resolve disputes through negotiation.

If no agreement is reached, disputes will be considered by the common courts of Georgia in accordance with applicable jurisdiction rules.
